Terms of Service

These Terms of Service ("Terms") govern your access to and use of Microfactory, a product development platform operated by Eka Yantra Limited, a company incorporated in Ireland (registration number 793221), with its registered address at Workhub, 77 Camden Street Lower, Dublin, Dublin 2, Ireland, D02 XE80 ("Microfactory", "we", "us", or "our").
By creating an account or using the platform, you agree to be bound by these Terms. If you do not agree, do not use Microfactory.
1. Eligibility
To use Microfactory, you must:
- Be at least 16 years of age.
- Provide accurate, complete, and current registration information.
- Maintain only one account per person. You may, however, be a member of multiple teams.
We reserve the right to refuse service, terminate accounts, or remove content at our discretion if these requirements are not met.
2. Accounts and Teams
Accounts. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.
Teams. Teams are the core organizational unit in Microfactory. Each team must have between 2 and 5 members (hard limit). Team administrators are responsible for managing billing, membership, and team settings.
Roles. Team members may be assigned the following roles: Admin, Builder, Evaluator, Member, or Custom. Permissions vary by role.
Account Deletion. When you delete your account, we perform a soft-delete. Your data is retained for a brief period to allow for recovery, after which it is permanently removed in accordance with our data retention policy.
3. Plans, Billing, and Credits
3.1 Subscription Plans
Microfactory offers three tiers:
- Free — $0. Limited features and credits.
- Starter — $9 per seat per month, or $7.50 per seat per month when billed annually.
- Pro — $15 per seat per month, or $12.50 per seat per month when billed annually.
Billing is per-seat, per-team. Each team has its own subscription. Annual billing is charged upfront for 12 months at the discounted rate.
3.2 Payment Processing
Payments are processed by Dodo Payments, which acts as our Merchant of Record. Dodo Payments handles payment disputes, refunds, and applicable taxes on our behalf.
3.3 Refund Policy
Microfactory does not offer refunds. If a team is deleted, the subscription will not renew at the next billing cycle, but no prorated refund will be issued for the remaining paid period.
3.4 Credits
Certain AI operations consume credits. The current credit costs are:
- Spec generation: 1 credit
- Standard research: 2 credits
- Deep research: 5 credits
Free tier: 8 lifetime credits. These never reset and cannot be topped up.
Paid tiers: Monthly credits that reset on the 1st of each month. Unused monthly credits do not roll over. Paid plans may also purchase credit top-up packs; purchased credits never expire.
Credit consumption is final. Credits are not refunded if the AI output is unsatisfactory.
4. Acceptable Use
You agree not to:
- Use automated tools to scrape or extract data in bulk from the platform.
- Reverse engineer, decompile, or attempt to extract the AI models, prompts, or algorithms used by Microfactory.
- Share your account credentials with any third party.
- Use the platform for any illegal purpose.
- Intentionally submit harmful, malicious, or adversarial content to AI systems.
- Circumvent or attempt to circumvent rate limits, credit systems, or other technical restrictions.
- Impersonate other users or teams.
We reserve the right to suspend or terminate accounts that violate these terms, with notice where practicable.
5. Intellectual Property
5.1 Your Content
You retain 100% ownership of all content you create on Microfactory, including ideas, research requests, specifications, votes, and comments. AI-generated content (such as research reports and specifications) is owned by the user or team that generated it.
5.2 Our Platform
Microfactory retains all rights to the platform itself, including its design, code, AI prompts, and proprietary systems.
5.3 License to Process
By using the platform, you grant Microfactory a limited, non-exclusive license to process your content solely for the purpose of delivering the service. This includes running AI operations on your content, storing files, and displaying content within your team's pipeline. This license terminates when your content is deleted.
5.4 GitHub Repository Data
When you connect a GitHub repository, you authorize Microfactory to access it via the GitHub App. We store analysis artifacts (such as structure summaries) but do not claim ownership of your source code.
6. AI Services
AI-generated outputs, including research reports and specifications, are provided "as-is". We do not guarantee their accuracy, completeness, or fitness for any particular purpose.
- Research reports may contain inaccurate market data and should be independently verified.
- Generated specifications are intended as a starting point, not a final deliverable.
- Our AI providers (including Anthropic and Google) process user data in accordance with their respective API terms. They do not train on your data.
7. GitHub Integration
When you install the Microfactory GitHub App, you authorize us to access the selected repositories. We analyze code structure and metadata; we do not analyze individual contributions or modify your repository code.
Repository data (analysis artifacts and metadata) is stored in our infrastructure. When you disconnect a repository, the associated data is deleted.
8. Request a Build
The Request a Build feature is available on Starter and Pro plans only. It allows teams to schedule a build session for an idea that has completed the pipeline.
- Scheduling is facilitated via Cal.com. Availability is not guaranteed.
- Build services are separate from and in addition to your platform subscription.
- Microfactory facilitates the connection between your team and a builder. The builder receives relevant context (research, spec, and vote data) for the idea.
9. Availability and Warranties
Microfactory is provided on an "as-is" and "as-available" basis. We make no warranties, express or implied, regarding the platform's availability, reliability, or suitability for your needs.
We make reasonable efforts to maintain availability and will communicate planned maintenance in advance when possible. However, we do not guarantee uninterrupted service.
We make no warranty that AI features will produce accurate, complete, or commercially viable results.
10. Limitation of Liability
To the maximum extent permitted by applicable law:
- Microfactory's total aggregate liability to you for any claims arising out of or related to these Terms or the service shall not exceed the total amounts you have paid to Microfactory in the 12 months immediately preceding the claim.
- We are not liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.
- We are not liable for any losses arising from decisions made based on AI-generated content.
- We are not liable for outages or failures of third-party services, including cloud infrastructure providers, AI providers, or payment processors.
11. Termination
By you. You may delete your account at any time through your account settings. Team administrators may delete their team; the subscription will stop renewing, but no prorated refund will be issued for the remaining paid period.
By us. We may suspend or terminate your account if you violate these Terms. Where practicable, we will provide notice before doing so.
Effect of termination. Upon termination, your access to the platform is revoked. Your data will be retained in accordance with our data retention policy and then permanently deleted.
12. Governing Law and Disputes
These Terms are governed by and construed in accordance with the laws of Ireland. Any disputes arising from these Terms or your use of the platform shall be subject to the exclusive jurisdiction of the courts of Ireland.
If you are a consumer in the European Union, nothing in these Terms affects your mandatory consumer protection rights under the laws of your country of residence.
13. Changes to These Terms
We may update these Terms from time to time. For material changes, we will provide at least 30 days' notice via the email address associated with your account.
Your continued use of the platform after the notice period constitutes acceptance of the updated Terms. If you disagree with the changes, you may close your account before the changes take effect.
14. General Provisions
Entire agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Microfactory regarding your use of the platform.
Severability. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
No waiver. Our failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce that provision in the future.
Assignment. Microfactory may assign these Terms in connection with a merger, acquisition, or sale of assets, with notice to you. You may not assign your rights under these Terms without our prior written consent.
